Mills & Reeve LLP is authorised and regulated by the Solicitors Regulation Authority and is subject to the SRA Standards and Regulations which can be found on their website.

You agree to the following terms of use in relation to your access and use of Dialogue on your own behalf and on behalf of your institution / employer. You confirm that you are an authorised representative of your institution / employer and are entitled to agree to these terms of use on behalf of your institution / employer. You agree to ensure that all employees and officers of your institution / employer who have access to Dialogue are aware of and will be bound by these terms of use.

If you do not accept these terms of use, you cannot use or continue using Dialogue.

Dialogue provides you, according to the service to which you have been subscribed, with information about matters on which you have instructed Mills & Reeve LLP, access to legal know how and resources, information about your Mills & Reeve team and/or a database of documentation relating to your matters and/or properties. 

Code of conduct

You agree to keep confidential any personal login and password used to access the site, to inform Mills & Reeve LLP if your Dialogue password is or may have been disclosed to a third party and to be responsible for any loss or damage resulting from use of your login or password by any third party.

You agree not to use Dialogue in any way which disrupts, interferes with or restricts the use of Dialogue by other users, and not to reverse engineer, decompile, copy or adapt any software or other code or scripts forming part of Dialogue or attempt to transmit to or via Dialogue any information that contains a virus, worm, trojan horse or other harmful or disruptive component.

You also agree not to change, modify, delete, interfere with or misuse any data accessed through Dialogue relating to any third party. 

Your right to use the contents of Dialogue

Except where otherwise specified, Mills & Reeve LLP owns or is licensed to use the copyright and all other intellectual property rights in Dialogue and the material contained in Dialogue. This includes all intellectual property rights in texts, icons, data, information, programming, scripting, design, layout and all other elements of the online service provided to you. 

Material provided in Dialogue may be downloaded, viewed and printed for internal use within your organisation provided that no trademark, copyright or other proprietary notices, or any restrictions on use or disclaimers contained in or appearing on such material are removed in whole or in part. Material contained in Dialogue may not otherwise be copied, reproduced or redistributed in whole or in part without the prior written consent of Mills & Reeve LLP.

Your responsibility to inform us of changes of personnel 

You agree to inform us as soon as you become aware that any member of your organisation with access to this site is no longer authorised to access Dialogue (for example if they leave the organisation, or are no longer authorised to view the site for any reason). You must send the name of the account* and the name and e-mail address of the person who is no longer authorised to access the account to digitalclientservices@mills-reeve.com, with a request to delete that person from the account. Until we are so informed the individual will continue to have access to Dialogue, even if they have left your organisation. *The name of the account is usually just your organisation's name, but if your organisation has more than one account, please send the organisation's name and relevant account name(s).

How we will use your personal data 

Mills & Reeve LLP will process your personal data fairly and lawfully in accordance with professional standards and data protection and privacy laws applicable to the firm (including, as applicable: the Data Protection Act 2018, the UK GDPR and the EU GDPR). 

The privacy notice below sets out how we use your personal data provided to us to register you for access to Dialogue on your own behalf and on behalf of your institution / employer. Further information on how we use personal data provided by our clients is available on our website: www.mills-reeve.com/client-privacy-notice. We may amend our privacy information periodically to ensure that it is operating effectively and complies with relevant laws and regulations.

Our legal basis for processing your data for the purposes of facilitating access to Dialogue is your consent. You may withdraw your consent at any time by emailing extranets@mills-reeve.com; this will not affect the lawfulness of any processing based on your consent before you withdrew it. If you withdraw your consent, we will delete your personal data and you will no longer be able to access Dialogue.

Where you provide any personal data to us (including that of third parties on behalf of your institution / employer), you are responsible for ensuring that disclosure by you, or on your behalf to us, for the use by us in the provision of our services complies with the requirements of data protection legislation. You have the sole responsibility for the accuracy quality and legality of the personal data you provide to us.

Your personal data may be seen or used by our staff or others working lawfully for us in the course of managing the secure access to Dialogue We may need to share your data with relevant third parties in order to fulfil our legal and professional obligations or where you ask us to share your data. We do not expect to share this data outside of the EEA but where this is essential to manage your access to Dialogue and for the delivery of these terms, we will take steps to ensure that your data is adequately protected in accordance with UK legal requirements. Where we are in a contractual relationship with the recipient, such protection will normally consist at minimum of appropriate contractual protections agreed between us and the recipient.

On receipt of a request from you or on your behalf by an authorised member of your institution / employer to remove your access in accordance with these terms, we will delete your personal data or that of the third parties. We may be obliged to suspend any planned deletion where legal or regulatory proceedings require it or where proceedings are underway such as require the data to be retained until those proceedings have finished.

You have the right to request copies of the personal data we hold about you, to ask for inaccuracies in your personal data to be corrected, and in certain circumstances for us to stop processing your personal data or for your personal data to be erased. Please contact digitalclientservices@mills-reeve.com. If you believe that we have not complied with any of our obligations under data protection laws in the UK, please let us know. You have the right to lodge a complaint with the Information Commissioner’s Office (www.ico.org.uk).

Important notes

Where financial information relating to matters on which you have instructed Mills & Reeve LLP is made available on Dialogue, such information is taken from the firm's systems but may not be completely up to date, and it does not necessarily indicate the amount your organisation will ultimately be invoiced.

Where documents have been drafted by Mills & Reeve LLP for your organisation and those documents are made available on Dialogue, such documents are provided on the basis that they are for use only in connection with the matter for which they were created, and do not constitute legal advice in relation to and are not to be used in connection with any other matter.

Where general know how documents produced by Mills & Reeve LLP are made available to you on Dialogue, such documents will not constitute legal advice. Mills & Reeve LLP will not be liable for any reliance placed on such documents by you or your organisation unless advice is taken on the specific circumstances in which such documents are to be used.

You acknowledge that we have no liability to you for direct loss, indirect, economic or consequential loss whatsoever; loss of revenue; loss of profits; loss of business; loss of goodwill or reputation; loss of use; any deletion, corruption, destruction, loss or removal of data or any professional charges, arising out of or in connection with your use of Dialogue.

Owing to the nature of the internet Mills & Reeve LLP cannot guarantee that Dialogue will always be available to users. You should ensure that you have appropriate protection against viruses and take steps to ensure the security of your computer network when using the internet.

General

Mills & Reeve LLP may amend these terms of use at any time and any revised version will be effective immediately it is displayed on Dialogue.   Mills & Reeve LLP reserves the right to terminate your access to the whole or part of Dialogue if it considers that you have breached these terms of use or that your use of Dialogue is detrimental to the site, to other users or to our IT systems.

Mills & Reeve LLP reserves the right to withdraw the provision of Dialogue on one month's notice to you. In the event that you cease to be a client of Mills & Reeve LLP, your right to access Dialogue shall immediately terminate. In addition, for security reasons we may disable your access to Dialogue if we believe you have not accessed your account for more than 12 months.

These terms of use shall be governed by and construed in accordance with English law. Any dispute arising out of the accessing or use of Dialogue shall be subject to the jurisdiction of the English courts.
